Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and 7feastr Technologies Ltd, a company incorporated under the laws of the Federal Republic of Nigeria (“7feastr”, “we”, “us”, or “our”). They govern your access to and use of the 7feastr website, mobile applications, and application programming interface, together referred to as the “Platform”.

7feastr operates two distinct services on the Platform. The first is a food and retail delivery marketplace connecting customers with independent restaurants and stores (“vendors”) and independent delivery agents. The second is 7feastr Logistics, a shipping service and application programming interface through which registered businesses (“merchants”) create, price, and track deliveries for their own customers. Certain sections of these Terms apply only to one of the two services, and are marked accordingly. By creating an account, placing an order, registering as a merchant, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

1. Definitions

  • “Customer” means an individual who places an order for food or goods through the marketplace.
  • “Vendor” means a restaurant, store, or other business that lists items for sale on the marketplace.
  • “Agent” means an independent delivery rider who fulfils marketplace deliveries or logistics shipments.
  • “Merchant” means a business registered to use 7feastr Logistics to create and manage shipments, whether through the merchant dashboard or the application programming interface.
  • “Shipment” means a package tendered by a merchant for collection, transportation, and delivery through 7feastr Logistics.
  • “Recipient” means the individual named by a merchant to receive a shipment. A recipient is not a party to these Terms and does not hold a 7feastr account by virtue of receiving a shipment.
  • “API key” means the credential issued to a merchant to authenticate programmatic requests to 7feastr Logistics.
  • “Sandbox environment” means a testing environment in which no real payment is collected and no shipment is physically dispatched.
  • “Production environment” means the live environment in which real shipments are created and real funds are debited.

2. Eligibility

You must be at least 18 years old to hold a customer account, and you must have the legal capacity to enter into a binding contract in Nigeria. If you are registering on behalf of a vendor, an agent, or a merchant, you represent that you are authorised to bind that business to these Terms. A merchant must be a validly incorporated or registered business, or a sole proprietorship lawfully permitted to trade, and must complete the business verification process described in Section 7 before creating shipments in a production environment.

3. Account Registration and Security

You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. You are responsible for all activity that occurs under your account and for keeping your password, API keys, and any two-factor authentication credentials confidential. You must notify us without undue delay at support@7feastr.com if you become aware of any unauthorised access to your account or any suspected compromise of an API key. 7feastr is not liable for loss arising from your failure to safeguard your credentials, though we will take reasonable steps to assist in securing an affected account once notified.

A single email address may be used to register a customer, vendor, or agent account and, separately, a merchant account, as these serve materially different purposes. An email address already registered to one role cannot be used to register a second account within that same role.

4. The Marketplace

7feastr operates the marketplace as an intermediary. Vendors are independent businesses responsible for the food and goods they list, and are the merchant of record for items sold through their store. Agents who fulfil marketplace deliveries are independent contractors and not employees or agents of 7feastr.

  • An order becomes binding once it is accepted by the vendor. Prices displayed at checkout include applicable taxes and delivery fees, unless stated otherwise.
  • Payment is due at the time an order is placed, except for orders eligible for payment on delivery, where payment is due on receipt of the order.
  • Delivery times shown at checkout are estimates. Actual delivery times may vary due to traffic conditions, weather, vendor preparation time, or agent availability, and 7feastr does not guarantee a specific delivery time.
  • 7feastr may decline or cancel an order where we reasonably suspect fraud, where a pricing or listing error has occurred, or where the ordered item is unavailable, and will notify you promptly if this occurs.

5. 7feastr Logistics

This Section applies to merchants using 7feastr Logistics, whether through the merchant dashboard or directly through the API.

  • Sandbox and production. Every merchant is issued a sandbox environment on registration, in which shipments and payments are simulated and no goods are physically collected. Access to a production environment is granted only after the merchant completes business verification to our satisfaction.
  • Business verification. Before a merchant may create shipments in production, 7feastr requires evidence of the business's identity and legitimacy, which may include a certificate of business registration, a valid means of identification for the business owner or an authorised representative, and proof of address. 7feastr may decline to grant production access, or may suspend existing production access, at its reasonable discretion, including where verification documents cannot be authenticated.
  • Rate quotes. A rate quote obtained through the rate estimate endpoint or the merchant dashboard is valid for the period stated at the time it is issued. A shipment created by referencing a valid quote is charged the quoted price. A shipment created without a quote, or after a quote has expired, is priced afresh at the time of creation using the rates then in effect.
  • Service types. 7feastr Logistics offers shipments as a consolidated, shared load, billed principally by weight, or as a dedicated vehicle charter, billed principally by distance and estimated trip duration. The applicable pricing model and estimated arrival window are disclosed before a shipment is confirmed.
  • Estimated arrival. Arrival windows are estimates based on distance, route, and prevailing conditions, and are not guaranteed delivery times. 7feastr is not liable for delay caused by circumstances outside its reasonable control, including but not limited to weather, road closures, checkpoint delays, or force majeure events described in Section 17.
  • Prohibited items. A merchant must not tender for shipment any item that is illegal to possess or transport in Nigeria, any firearm, ammunition, or explosive, any live animal, any human remains, any perishable item requiring refrigeration unless separately agreed in writing, or any item whose carriage would breach applicable law. 7feastr may refuse, suspend, or return any shipment reasonably suspected of containing a prohibited item, at the merchant's cost.
  • Declared value and liability. Unless a merchant has separately agreed insurance cover with 7feastr in writing, 7feastr's liability for loss of or damage to a shipment in transit is limited as set out in Section 11. A merchant is responsible for accurately describing the contents and weight of a shipment. Misdescription that results in incorrect pricing, delay, or refusal of carriage is the merchant's responsibility.
  • API access. A merchant is responsible for all requests made using its API keys, whether made by the merchant, its employees, or a third party to whom the merchant has disclosed a key. 7feastr may rate limit, suspend, or revoke API access where use of the API is abusive, threatens the stability of the Platform, or breaches these Terms.
  • Webhooks and integrations. Where a merchant configures a webhook endpoint to receive shipment status events, the merchant is responsible for the security and availability of that endpoint. 7feastr is not liable for a merchant's failure to receive or act on a webhook event.

6. Wallets and Payment

Marketplace payments and 7feastr Logistics shipments are funded through a wallet or direct payment processed by a licensed third-party payment service provider. 7feastr does not itself hold a banking licence and does not act as a deposit-taking institution. Funds credited to a wallet remain available for use on the Platform in accordance with the Monetary Policy, which forms part of these Terms by reference.

7. Business Verification and Know Your Business

Where 7feastr requests identifying or verification documents from a vendor, agent, or merchant, that party warrants that the documents supplied are genuine, current, and relate to the business or individual in question. 7feastr may, in order to comply with applicable law or to prevent fraud, decline to onboard, or may suspend, any party whose documentation cannot be verified.

8. Prohibited Conduct

In addition to the specific restrictions in Section 5, you agree not to:

  • use the Platform for any unlawful purpose or in breach of any applicable law;
  • submit false, fraudulent, or duplicate orders or shipments;
  • harass, threaten, or abuse a vendor, an agent, a merchant, or a 7feastr employee;
  • attempt to gain unauthorised access to the Platform or to another user's account or data;
  • reverse engineer, scrape, or attempt to circumvent rate limits or security controls on the Platform or the API;
  • manipulate ratings, reviews, or shipment tracking information; or
  • resell, sublicense, or transfer your account or API keys without our prior written consent.

9. Intellectual Property

All content made available on the Platform, including its software, source code, application programming interface, trademarks, logos, designs, and documentation, is owned by 7feastr Technologies Ltd or its licensors and is protected under the Copyright Act, the Trade Marks Act, and other applicable Nigerian and international intellectual property law. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose. No other rights are granted.

10. Third-Party Services

The Platform relies on services provided by third parties, including payment processing, mapping and geocoding, and cloud infrastructure. Your use of features built on those services is also subject to the relevant third party's own terms, to the extent disclosed to you. 7feastr is not responsible for the acts or omissions of an independent third-party provider, save to the extent required by applicable law.

11. Disclaimers and Limitation of Liability

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, 7feastr disclaims all warranties, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

7feastr is not liable for the quality, safety, or lawfulness of items listed by a vendor, for the acts or omissions of an independent vendor or agent, or for indirect, incidental, special, or consequential loss arising from use of the Platform, including loss of profit, revenue, or business opportunity.

For 7feastr Logistics, and except where a merchant has purchased separate insurance cover in writing, our aggregate liability for loss of or damage to a single shipment is limited to the lower of the declared value of the shipment stated at creation and the amount actually paid by the merchant for that shipment. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under the laws of Nigeria, including liability for death or personal injury caused by negligence, or liability for fraud.

12. Indemnification

You agree to indemnify and hold 7feastr, its officers, employees, and agents harmless from any claim, liability, damage, or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Platform, or, in the case of a merchant, the contents of a shipment tendered by you or your breach of any warranty given in these Terms.

13. Suspension and Termination

We may suspend or terminate your account, or restrict access to a production environment, where you breach these Terms, where we reasonably suspect fraud or abuse, or where required to do so by law. You may close your account or cease using 7feastr Logistics at any time by contacting our support team, subject to settlement of any outstanding balance or dispute. Sections of these Terms that by their nature should survive termination, including Sections 9, 11, 12, 15, and 16, remain in force after termination.

14. Force Majeure

Neither party is liable for a failure or delay in performance caused by circumstances beyond its reasonable control, including natural disaster, civil unrest, government action, industrial action, failure of a third-party network or payment system, or fuel shortage. The affected party will notify the other as soon as reasonably practicable and will resume performance once the circumstance has passed.

15. Dispute Resolution

If a dispute arises out of or in connection with these Terms, the parties will first attempt to resolve it through good faith negotiation by contacting support@7feastr.com. If the dispute is not resolved within thirty days, either party may refer it to arbitration in Lagos under the Arbitration and Mediation Act 2023, conducted in English before a sole arbitrator, whose decision shall be final and binding on the parties. Nothing in this Section prevents either party from seeking urgent injunctive relief from a court of competent jurisdiction.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Federal Republic of Nigeria. Subject to Section 15, the courts of Lagos State have exclusive jurisdiction over any dispute that is not resolved by arbitration.

17. General Provisions

  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.
  • Entire agreement. These Terms, together with the Privacy Policy and Monetary Policy, constitute the entire agreement between you and 7feastr in respect of the Platform, and supersede any prior agreement on the same subject.
  • No waiver. A failure by 7feastr to enforce a provision of these Terms is not a waiver of our right to enforce it later.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. 7feastr may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Amendments. We may update these Terms from time to time. Material changes will be notified by email or in-app notice at least seven days before taking effect. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
